Terms and Conditions of Service

These Terms and Conditions (or Terms of Service); constitute a legally binding commercial contract between you (the "Organizer", meaning the professional photographer, corporate entity, or event host paying for the SaaS platform) and Ayojan. By registering for an account or using our cloud infrastructure, you expressly agree to be bound by these Terms.

Due to the immense scale of media ingestion and the asymmetrical liability inherent in providing AI-powered cloud infrastructure, these terms meticulously outline intellectual property rights, acceptable use parameters, and critical limitations of liability.

1. Intellectual Property Architecture and Content Licensing

Ayojan provides the software layer; we do not originate, commission, or legally own the event photographs uploaded to our servers. All media uploaded by you is exclusively defined as"Organizer Content".

To legally ingest, encrypt, process, and distribute these millions of files across our cloud servers without committing mass copyright infringement, you must grant Ayojan specific processing rights. By uploading files to Ayojan, you grant Ayojan anon-exclusive, worldwide, royalty-free, irrevocable, and sub-licensable license to use, reproduce, adapt, encrypt, transmit, and distribute the Organizer Content across our server infrastructure solely for the purpose of operating and delivering the Ayojan platform services.

Note on Ownership: This license is strictly for infrastructure and processing purposes. You retain 100% ownership of all your event photographs. Ayojan does not claim ownership, nor do we use your photos for any external marketing, AI training outside your event scope, or third-party sales.

Strict Warranties: You legally represent and warrant that:

  • You possess all necessary copyrights, intellectual property rights, and commercial authority over the uploaded media.
  • The public display and distribution of the content via Ayojan does not infringe upon the intellectual property rights, rights of publicity, or privacy rights of any third-party subjects depicted within the images.

Ayojan reserves the absolute, unilateral right to terminate the processing of any gallery and instantly remove any content from the platform, without prior notice, if we suspect a violation of copyright law or the hosting of illicit, defamatory, or non-consensual material.

2. Operational Restrictions and Acceptable Use Policy

To protect the integrity of the platform's infrastructure and maintain commercial boundaries, you are strictly prohibited from engaging in the following detrimental activities:

  • The deployment of automated web scrapers, data mining bots, or bulk extraction tools against the platform’s galleries to bypass the intended user interface.
  • The unauthorized sublicensing, reselling, or white-label commercialization of Ayojan’s software infrastructure without a negotiated, bespoke enterprise agreement.
  • The utilization of the platform’s server bandwidth and storage capabilities as a generic file-hosting service for purposes entirely unrelated to event photography distribution.
  • Any attempt to reverse-engineer the facial recognition algorithms, upload malicious payloads, execute denial-of-service vectors, or systematically attempt to bypass the platform's biometric security and access-control gates.

3. Aggressive Limitation of Liability and Indemnification

The sheer volume of data processing and the inherent unpredictability of both cloud infrastructure and AI algorithmic accuracy require Ayojan to limit its financial exposure aggressively.

  • "As Is" Disclaimer: The Ayojan platform, its server uptime, and its AI matching capabilities are provided strictly on an "as is" and "as available" basis, complete with all faults. Ayojan expressly disclaims all warranties, whether express or implied, including warranties of merchantability or guarantees of 100% facial recognition matching accuracy across variable lighting and environmental conditions.
  • Strict Liability Cap: Under no circumstances shall Ayojan, its directors, officers, corporate affiliates, or employees be held liable for any indirect, consequential, special, punitive, or incidental damages—including lost profits, lost data, or reputational harm—arising from the use or inability to use the service, regardless of whether the claim sounds in contract, tort, or strict liability.
  • Robust Indemnification: You legally agree to fully indemnify, defend, and hold harmless Ayojan against any and all liabilities, financial costs, legal demands, causes of action, and expenses (including extensive attorney fees) that arise in any way from your breach of these Terms. Crucially, this indemnification explicitly covers any copyright infringement lawsuits initiated by rival photographers regarding uploaded photos, as well as any privacy violation claims initiated by guests asserting they were photographed and uploaded without their consent.

4. Jurisdiction, Governing Law, and Dispute Resolution

To prevent fragmented, cross-jurisdictional litigation, these Terms mandate a single, exclusive governing law and venue.

This agreement shall be solely governed by the laws of the State of Uttar Pradesh, India. You submit to the exclusive jurisdiction of the state and federal courts located within Uttar Pradesh for the resolution of any commercial disputes.

In cases involving digital privacy breaches, unauthorized data access, or compensation claims under Section 43A of the Information Technology Act, 2000, specialized "Adjudicating Officers" empowered by the IT Act may hear complaints and adjudge compensation. Establishing clear jurisdictional boundaries ensures that any regulatory or civil action is centralized.
